By accessing this website or engaging BitPerBlock for any service, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you should not use the site or engage our services. These terms apply to all visitors, prospective clients, and active clients alike, and they remain in effect from the moment of first contact through the completion and handover of any project.
BitPerBlock provides custom software design and development, AI automation, mobile application development, web platform engineering, and technical consulting. The scope, deliverables, timeline, and cost of any specific engagement are defined in a separate proposal or statement of work agreed in writing between you and BitPerBlock.
All work is scoped through a dedicated proposal or statement of work that defines deliverables, milestones, timeline, and fees. These Terms of Service supplement and support any signed agreement but do not replace it. Where a conflict exists between these terms and a signed proposal or statement of work, the signed agreement takes precedence for the specific engagement it covers.
Fees, invoicing schedules, and payment terms are specified in your proposal or statement of work. Invoices are due within the timeframe stated on the invoice. Late payments may incur interest charges or pause ongoing work until the outstanding balance is settled. Initial project deposits are typically non-refundable, as they reserve team capacity and scheduling for your engagement.
Upon receipt of full payment for a delivered milestone or project, you own the custom work product created specifically for you, including bespoke code, designs, and assets. BitPerBlock retains all rights to pre-existing tools, libraries, frameworks, internal utilities, and methodologies developed before or independently of your engagement. We may reuse general knowledge, patterns, and non-proprietary components across projects.
All services are provided on an "as is" basis. BitPerBlock commits to applying reasonable skill, care, and professional diligence consistent with industry standards. We do not guarantee any specific business outcome, revenue result, search ranking, user growth, or other performance metric, as these depend on factors outside our control including your market, strategy, and execution.
To the fullest extent permitted by law, BitPerBlock's total liability arising from or related to any engagement is capped at the fees actually paid to us for the specific work giving rise to the claim. In no event shall BitPerBlock be liable for any indirect, incidental, consequential, special, or punitive damages, including lost profits, lost revenue, or loss of data, even if advised of their possibility.
Either party may terminate an engagement by providing written notice to the other. Upon termination, you are responsible for payment of all work completed up to the date termination takes effect, including any milestones in progress. Any prepaid fees for work not yet started will be applied to the final invoice or refunded at our discretion. Existing intellectual property terms survive termination.
These Terms of Service and any dispute arising from them or from an engagement with BitPerBlock shall be governed by the laws of the jurisdiction specified in your signed agreement, or in the absence of a specified jurisdiction, by the laws of the jurisdiction in which BitPerBlock is registered. You agree to submit to the exclusive jurisdiction of the courts of that jurisdiction.
We may update these Terms of Service at any time. When we do, the "Last updated" date at the top of this page will reflect the most recent revision. Continued use of the website or services after changes are posted constitutes acceptance of the updated terms. We encourage you to review this page periodically.
